Job Summary

To determine all commercial legal activities of the Group and to ensure that they are carried out in accordance with relevant laws, regulations, and charters of the companies within the Group. The position assesses, control, and determine legal information to all stakeholders (e.g., cases, statutes, and regulations). Giving accurate and timely counsel to executives in a variety of legal topics. Collaborating with management to devise efficient defense strategies. Specifying internal governance policies and regularly monitor compliance.

Job Responsibilities 1

  • Contribute to the development of PIH’s vision, mission and strategy and lead the development of the business unit’s strategy ensuring its alignment with the broader objectives of the organization.
  • Build and lead a motivated, engaged and competent manpower throughout the business unit, by setting priorities and objectives, managing performance, and providing ongoing feedback and coaching to meet the business unit’s challenges and goals.
  • Define an optimum organization structure for the business unit and direct the development of divisions to ensure efficient and effective utilization of the business unit’s resources.
  • Provide support and input for the development of the business unit’s manpower plan collaborating with Human Capital to ensure timely and best-of-class delivery of tasks.
  • Provide direction on the preparation and consolidation of the business unit’s budget in line with PIH’s annual business plan.
  • Direct and approve the public private partnerships (PPP) legal proceedings.
  • Plan general business law issues and managing the legal issues of all areas of the company, including but not limited to corporate matters, procurement, safety, security, insurance and sustainability issues.
  • Control the department as required in liaison with the superior.
  • Determine the (legal) risks connected with or resulting from the business strategy and operations.

Job Responsibilities 2

  • Assess the compliance of business operations with relevant laws and regulations.
  • Ensure that the awareness of business employees for (compliance with) relevant laws and regulations is created and maintained on a effective manner.
  • Assign counsel members to provide legal advice on various matters including but not limited to contracts and agreements templates, corporate affairs, advisory to the organization business units, corporate governance, legal compliance, Joint Venture, Major Projects, disputes, and employment related topics.
  • Ensure that proper preparation of draft contracts and agreements required for Company activities are done and approve the contracts and agreements.
  • Ensure that proper preparation and drafting of legal documents (Notices, claim, official forms, etc.) and corporate documents (Board resolutions, shareholders’ assembly, minutes of the meetings, etc. are done in a timely manner.

Job Knowledge & Skills

• Must be able to grasp business transactions, identify and implement the legal treatment

• Excellent drafting and organizational skills

• Ability to analyze complex legal problems quickly and concisely

• Experience handling high volume of contract reviews, drafting and negotiation

• Experience handling corporate matters

• Demonstrable evidence of having worked in a role requiring extensive and continuous interaction with various internal and external stakeholders in delivery of objectives

• Extensive knowledge of corporate governance, legal and company secretarial matters

• Ability to deliver high-quality work under deadlines.

• Knowledge of and proven experience in the Middle East

• ERP knowledge preferably SAP functional skills are a requirement to be successful in this role.

Job Experience

Minimum 15 years of proven in house legal and contractual experience (required)
