Senior Legal Manager (Fund & Transaction) - Private Equity

Job Summary

Bridge Capital is seeking a Senior Legal Manager, Fund & Transaction, to lead legal workstreams across complex cross-border investments from initial structuring and diligence through signing, closing, active ownership and realization. Embedded alongside investment professionals, the role will convert commercial objectives into executable legal structures, negotiate principal transaction documents, protect governance and economic rights, and provide clear, decision-oriented advice on material legal and execution risk. The successful candidate will combine top-tier private equity, M&A or investment-banking transaction exposure with sophisticated drafting, disciplined project management and the judgment to distinguish manageable risk from unacceptable exposure.

Job Responsibilities 1

• Lead legal execution across acquisitions, disposals, joint ventures, co-investments, minority investments, platform builds, add-ons, restructurings, recapitalizations, refinancings and exits.
• Partner with investment, finance, tax and technical teams from initial screening to define legal workplans, identify critical structuring questions and align legal diligence with the investment thesis and underwriting priorities.
• Design and evaluate fund, holding-company, SPV, acquisition, financing and co-investment structures across jurisdictions, balancing governance, enforceability, tax, regulatory, funding and exit considerations.
• Lead legal due diligence, scope specialist reviews, distinguish value-critical findings from routine matters and translate issues into price, conditions, covenants, indemnities, warranties, insurance, security, holdbacks or other transaction protections.
• Protect Bridge Capital's governance and economic position through reserved matters, Board and information rights, transfer restrictions, minority protections, deadlock mechanisms, funding obligations, distribution rights and exit provisions.
• Support portfolio legal matters arising from active ownership, including add-on acquisitions, reorganizations, management equity, incentive arrangements, related-party transactions, disputes, distressed scenarios and exit readiness.
• Manage cross-border regulatory, foreign-investment, merger-control, sanctions, anti-bribery, financial-crime and integrity issues with relevant internal specialists and jurisdictional counsel.
• Develop transaction playbooks, precedent documents, negotiation positions, diligence protocols, closing checklists and knowledge resources that improve execution speed, consistency and institutional learning.
• Provide day-to-day leadership and technical guidance to legal team members and contribute to a high-performance culture built on ownership, commercial judgment, precision and constructive challenge.

Job Knowledge & Skills

• Strong command of transaction structuring, legal due diligence, risk allocation, corporate and shareholder governance, conditions to closing and post-closing obligations.
• Excellent written, verbal and interpersonal skills, including confidence with investment committees, boards, management teams and sophisticated external counterparties.
• Demonstrated ability to lead small teams, manage multiple workstreams and develop junior professionals in a high-performance environment.
• Cross-border experience and cultural fluency are strongly preferred. Professional fluency in Arabic, Spanish, French or another relevant language is a plus, but not a requirement.
• Demonstrated full-lifecycle responsibility for complex cross-border acquisitions, disposals, joint ventures, co-investments, financings, restructurings and exits, with direct negotiation of principal transaction documents.

Job Experience

• Minimum 6 to 8  years of progressive legal experience with substantial responsibility for private equity, M&A, leveraged finance, fund, infrastructure or principal-investment transactions at a leading international law firm, global investment firm, investment bank or comparable platform.
• Experience with fund, holding-company, SPV and co-investment structures and with governance rights, reserved matters, minority protections, capital funding, distributions and realization mechanisms is strongly preferred.
• Credible exposure to acquisition financing, security, guarantees, intercreditor arrangements, covenants, amendments or refinancing transactions is advantageous.
